Terms of Service

These Terms of Service ("Terms") govern your access to and use of the CounselHall website and related study materials (the "Service"), operated by O&A Industries ("we," "us," or "our"). By creating an account, purchasing a plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that the information you provide is accurate.
2. The Service
The Service provides original practice case studies and multiple-choice questions designed as study aids aligned to publicly published NCMHCE examination specifications. The Service is an educational tool only. It is not a substitute for professional training, supervision, accredited coursework, or clinical judgment, and it does not guarantee any particular result, including passing any examination or obtaining licensure.
3. No Affiliation
O&A Industries and the Service are not affiliated with, endorsed by, sponsored by, or otherwise connected to the National Board for Certified Counselors (NBCC), the NCMHCE, or any licensing or credentialing body. All trademarks are the property of their respective owners. We do not reproduce actual examination questions.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
5. Plans, Payment, and Refunds
Certain features require a one-time purchase or a recurring subscription. Prices are shown at checkout and are processed by our third-party payment processor; we do not store full payment card details. Subscriptions renew automatically until cancelled, and you may cancel at any time, with cancellation effective at the end of the current billing period. Except where required by law, fees are non-refundable. Any refund or trial terms presented at the point of sale control over this section.
6. License and Acceptable Use
Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to access the materials for your own individual study. You may not copy, redistribute, resell, sublicense, publicly post, scrape, or create derivative works from the materials, or share your account, without our prior written permission. We reserve all rights not expressly granted.
7. Intellectual Property
All content in the Service, including case studies, questions, rationales, text, and design, is owned by O&A Industries or its licensors and is protected by intellectual property laws.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the materials are error-free or current, or that use of the Service will result in passing any examination. See our Disclaimer for more.
9. Limitation of Liability
To the maximum extent permitted by law, O&A Industries and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
10. Indemnification
You agree to indemnify and hold harmless O&A Industries from any claims, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or your violation of these Terms.
11. Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make material changes, we will update the date above and, where appropriate, provide additional notice. Your continued use after changes take effect constitutes acceptance.
12. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for any lawful reason. Provisions that by their nature should survive termination will survive.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in New York, unless otherwise required by applicable law.
